Moroccan Securities Law Compliance

Our operations in Morocco comply with Law No. 43-12 relating to the Moroccan Capital Market Authority and the information required from legal persons making public offerings of securities, as well as all applicable regulations and circulars issued by AMMC.

Canadian Regulation

Provincial Securities Regulators

HAMRI CAPITAL's operations in Canada are subject to the securities legislation of the provinces where we operate, including British Columbia and Ontario. We comply with the requirements of:

  • British Columbia Securities Commission (BCSC)
  • Ontario Securities Commission (OSC)

Exempt Market Dealer Registration

HAMRI CAPITAL operates as an Exempt Market Dealer in applicable Canadian provinces, distributing securities pursuant to prospectus exemptions under National Instrument 45-106 Prospectus Exemptions and other applicable exemptions.

Canadian Investor Protection

Canadian investors are protected by provincial securities legislation, which includes requirements for fair dealing, know-your-client obligations, and suitability assessments.

Investor Qualifications

Morocco - Qualified Investors

In Morocco, our investment products are offered only to qualified investors as defined by AMMC regulations, including:

  • Credit institutions and insurance companies
  • UCITS (Undertakings for Collective Investment in Transferable Securities) and management companies
  • Pension funds and retirement savings institutions
  • Qualified individual investors meeting specific wealth thresholds

Canada - Accredited Investors

In Canada, our investment products are offered pursuant to exemptions available to accredited investors and other qualified purchasers, including:

  • Individuals with financial assets exceeding CAD $1 million
  • Individuals with net income exceeding CAD $200,000 (or $300,000 combined with spouse) in each of the two most recent years
  • Individuals with net assets exceeding CAD $5 million
  • Registered investment dealers, banks, insurance companies, and other financial institutions
  • Entities with net assets exceeding CAD $5 million
